Terms of Service

Effective July 29, 2026

These terms govern use of ROM Estimator and The Project Manager, including the field reporting app (together, the "services"), operated by Grove Hall Solutions ("Grove Hall," "we"). The services are business tools provided to customer organizations under an order form or pilot agreement; by using an account we provision, you accept these terms on behalf of your organization.

Accounts

Accounts are provisioned by us for your organization. Your organization chooses who holds accounts, keeps credentials secure, and is responsible for activity under its accounts. Clients and owners your organization reports to do not need accounts; they receive read-only capability links that your organization creates, can revoke, and is responsible for directing to the right recipients.

Acceptable use

Do not use the services to attack or probe systems, bypass access controls, upload malware, violate the law or others' rights, or interfere with the services. Do not resell access. Accounts are for the customer organization's own business use.

Your data

Your organization owns its workspace content, including estimates, comparable-project data, schedules, records, files, and field reports. You grant us the limited rights needed to host, process, secure, back up, display, and support that content in order to provide the services. We treat customer estimating data and cost history as confidential, do not disclose it to other customers, and do not use one customer's proprietary data to serve another. Your organization can export its complete records at any time through the continuity archive, and these export rights survive termination as described below.

Estimates are decision support, not professional advice

ROM Estimator produces rough-order-of-magnitude figures computed from comparable projects, assumptions, and settings that your organization selects and controls. Outputs are ranges with stated uncertainty, produced at concept-stage maturity (AACE Class 4 / 5), and they depend on the quality of the comparables and inputs provided. They are not engineering, quantity surveying, appraisal, or other professional services; they are not a guarantee of cost, schedule, or outcome; and they are not a substitute for the professional judgment of your organization or for independent estimates where a board, lender, or regulation requires one. Your organization is solely responsible for decisions, bids, budgets, and commitments made using the services.

Availability and support

We work to keep the services available and useful, and we support customers directly, but the services are provided without a guaranteed uptime level unless a signed order form says otherwise. We may maintain, update, and improve the services; we will not materially reduce core functionality your organization relies on during a paid term without notice.

Fees

Fees, terms, and any pilot arrangements are set in the order form or agreement between Grove Hall and your organization, invoiced directly.

Term, termination, and your exit

Either party may end the relationship as set out in the order form, or with 30 days' notice where the order form is silent. If your organization materially breaches these terms and does not cure within 15 days of notice, we may suspend or end access. When the relationship ends, for any reason: your organization may take a complete export before the end date and for 30 days after; after that retrieval window we delete workspace content within 30 days, and it ages out of backups within about 35 more days.

Disclaimers

The services are provided "as is" and "as available." To the fullest extent allowed by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent allowed by law: neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue; and our total liability under these terms is capped at the fees your organization paid for the services in the 12 months before the event giving rise to the claim. These limits do not apply to your organization's payment obligations or to either party's breach of confidentiality.

Indemnity

Your organization will defend and indemnify Grove Hall against third-party claims arising from your organization's content or its use of the services in violation of these terms or the law.

Governing law

These terms are governed by the laws of the State of Florida, and disputes will be resolved in the state or federal courts located in Pinellas County, Florida.

Changes

We may update these terms; material changes take effect 30 days after we post them here and notify customer organizations. Continued use after that date is acceptance.
